My practice focuses on advising emerging/ start-up companies and entrepreneurs, venture capital and private equity firms, mergers and acquisition/ joint venture and on-going general counsel representation on legal issues on domestic and cross border transactions. We advise from a structure perspective, mergers and acquisitions, venture and debt financings, IP and software development, licensing and asset transfer transactions. We also act as “outside general counsel” for many of our clients. We also advise foreign and domestic clients on legal issues relating to joint ventures. Advising on fund formation by providing strategic, legal, regulatory and tax advice at the investor level, the fund level, the portfolio investment level and the fund manager.
